Terms of Speculation (Expanded)

Project Codenames: The Merger / Series A Life Protocol: VestMyVows

Executive Summary of Risk

The participants (the "Founding Partners") and the contributors (the "Limited Partners" or "LPs") hereby acknowledge that the institution of marriage is a decentralized autonomous organization (DAO) with high operational overhead and a significant probability of a catastrophic Liquidation Event. By utilizing this protocol, all parties agree to replace traditional "gift-and-forget" dynamics with a milestone-based equity structure.

Capital Allocation & The "Half-Life" Rule

Total Committed Capital (TCC) shall be split into two distinct tranches to ensure the long-term viability of the union:

  • The Ignition Tranche (50%): Disbursed at "T-Zero" (The Wedding Date). This capital is intended for immediate burning on high-velocity expenses: venue overhead, luxury travel (Honeymoon), and initial domestic infrastructure.
  • The Stability Tranche (50%): Held in a Yield-Bearing Escrow account. This capital is not owned by the Founders until it clears the temporal hurdles defined in Section 3.

The 48-Month Vesting Architecture

Vesting occurs on a linear monthly schedule with annual "Hard-Check" disbursements. Ownership of the Stability Tranche transfers from the Escrow to the Founders according to the following Vesting Schedule:

    The 12-Month Cliff: No capital from the Stability Tranche is released until the 365th day of the union. If liquidation occurs on Day 364, 100% of the Stability Tranche reverts to the LPs.

    Annual Tranches: Upon successful Oracle Verification of the marriage's "Active" status, 12.5% of the total gift value is released on each anniversary (Years 1, 2, 3, and 4).

    Full Dilution: At the 48-month mark, the Founders achieve 100% equity. The protocol concludes, and the union transitions into "Legacy Mode."

Oracle Governance & The Pre-Nup API

To automate disbursements, the protocol integrates with the Pre-Nup API. The API acts as a neutral "Proof of Stay" mechanism:

  • Data Scoping: The API monitors public court records and state registries for "Notice of Dissolution" or "Legal Separation."
  • Dispute Resolution: In the event of a "False Negative" (e.g., a clerical error showing a divorce that didn't happen), the Founders must provide a "Proof of Life" photo involving a current newspaper and a shared domestic utility bill to manually trigger the vesting.

The "Smug Uncle" Reversionary Interest

This protocol protects the LP against "Early-Stage Failure."

Trigger: If the Pre-Nup API detects a dissolution event prior to Month 48.

Execution: The Smart Contract executes an immediate "Pull" command. Remaining funds are returned to the LPs' original wallets.

The Toaster Exception:

Physical gifts (Non-Fungible Physicals) are governed by the "Social Shame Sub-Protocol." While the software cannot physically reclaim a blender, the Terms of Speculation suggest a 50% buy-back requirement for any NFP received if the marriage fails before Year 1.

Drawdown Protections & "Pivot" Capital

If the union experiences a "Psychological Drawdown" (defined as sustained interpersonal volatility), the protocol allows for a Governance Vote:

  • Founders may request an "Emergency Draw" from the unvested escrow specifically for the purpose of hiring third-party consultants (Marriage Counselors).
  • This is viewed as "Bridge Funding" to prevent a total Liquidation Event.

Finality of Code

The Founders acknowledge that "Code is Law." The Smart Contract does not have an "Emotional Override." It does not care who was at fault, who "found themselves" in Tulum, or who forgot the anniversary. It only recognizes the legal state of the union as reported by the Oracle.
